2. Service Description
Giubbaired provides digital publishing services including but not limited to:
- Professional editing and proofreading
- Digital formatting and design
- Global distribution services
- Marketing and promotional services
- Cover design and artwork
- Publishing consultation
Specific services and deliverables will be outlined in individual service agreements or project proposals.
3. Client Responsibilities
3.1 Content Ownership and Rights
You represent and warrant that:
- You own or have the legal right to use all content provided to us
- Your content does not infringe on third-party intellectual property rights
- You have all necessary permissions for any included materials
- Your content does not violate any applicable laws or regulations
3.2 Content Standards
Content must not contain:
- Illegal, harmful, or offensive material
- Defamatory, libelous, or slanderous statements
- Copyrighted material without proper authorization
- Personal information of third parties without consent
3.3 Cooperation and Communication
Clients agree to:
- Provide complete and accurate project information
- Respond to communications in a timely manner
- Review and approve deliverables within specified timeframes
- Make payments according to agreed terms
4. Intellectual Property
4.1 Client Content
You retain all intellectual property rights in your original content. By engaging our services, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing our services.
4.2 Our Intellectual Property
All proprietary technologies, processes, and materials developed by Giubbaired remain our intellectual property. This includes but is not limited to:
- Proprietary formatting and design templates
- Software tools and platforms
- Business processes and methodologies
- Marketing materials and strategies
4.3 Work Product
Upon full payment, you will own the final formatted ebook and any custom design work created specifically for your project. However, we retain the right to use general techniques, methods, and know-how gained from the project.
5. Payment Terms
5.1 Fees and Payment Schedule
Project fees and payment schedules will be specified in individual service agreements. Standard terms include:
- Initial deposit required before work begins
- Progress payments based on project milestones
- Final payment due before delivery of completed work
5.2 Late Payments
Late payments may result in:
- Suspension of work until payment is received
- Late fees of 1.5% per month on overdue amounts
- Termination of the agreement for payments more than 30 days overdue
5.3 Refund Policy
Refunds are considered on a case-by-case basis and may be provided for:
- Services not yet performed
- Failure to deliver services as agreed
- Documented service deficiencies
6. Project Timelines and Delivery
6.1 Timeline Estimates
Project timelines are estimates based on typical project requirements and assume timely client cooperation and feedback. Actual timelines may vary based on:
- Project complexity and scope changes
- Client response times for reviews and approvals
- Quality of source materials provided
- Unforeseen technical challenges
6.2 Delays
We are not liable for delays caused by:
- Client failure to provide necessary materials or feedback
- Changes to project scope or requirements
- Force majeure events beyond our control
- Third-party service provider delays
7. Quality Assurance and Revisions
7.1 Quality Standards
We are committed to delivering high-quality work that meets industry standards. All work undergoes internal quality checks before delivery to clients.
7.2 Revision Policy
We provide reasonable revisions to ensure client satisfaction:
- Minor corrections and adjustments are included
- Major changes may incur additional charges
- Revision requests must be submitted within 30 days of delivery
- Scope changes require separate agreements
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for the specific service
- We are not liable for indirect, consequential, or incidental damages
- We do not guarantee specific sales results or market performance
- Third-party platform policies and changes are beyond our control
9. Confidentiality
We agree to maintain the confidentiality of your proprietary information and content. This includes:
- Unpublished manuscripts and content
- Business strategies and marketing plans
- Personal and contact information
- Any information marked as confidential
Confidentiality obligations survive termination of our agreement and do not apply to information that becomes publicly available through no fault of ours.
10. Termination
10.1 Termination by Client
You may terminate the agreement at any time with written notice. In such cases:
- You are responsible for payment of all work completed
- Partial refunds may be provided for unperformed services
- Work product completed will be delivered upon final payment
10.2 Termination by Company
We may terminate the agreement for:
- Non-payment of fees
- Breach of these Terms
- Client misconduct or unreasonable demands
- Content that violates our standards
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical failures.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes will be resolved through:
- Good faith negotiations
- Mediation if direct negotiations fail
- Arbitration or court proceedings in England and Wales
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of modified Terms.
